1. Agreement to These Terms
These Terms of Service (the “Terms”) govern your access to and use of the website nova-compute.com and the workshops, training, certificates, and related services (together, the “Services”) offered by Nova Compute LLC (“Nova Compute,” “we,” “us,” or “our”), a Florida limited liability company based in Miami, Florida, United States. By accessing the website, registering for a workshop, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and able to enter into a binding contract to purchase or attend our Services. If you register on behalf of a business or another person, you represent that you are authorized to bind that business or person to these Terms.
3. The Services
Nova Compute provides hands-on, in-person AI workshops for small-business owners and teams, along with related corporate training and educational materials. Workshop dates, locations, capacity, content, and pricing are described on our website and may change. The Services are educational. We do not provide legal, financial, tax, or other professional advice, and nothing in the Services should be relied on as such.
4. Registration and Account Security
Some features (such as internal tools) are restricted and may require a password or credentials we provide. You are responsible for keeping your credentials confidential and for all activity that occurs under them. You agree to provide accurate, current, and complete information when you register and to keep it up to date.
5. Bookings, Pricing, and Payment
- Prices. Prices are shown at the time of booking and are stated in U.S. dollars unless noted otherwise. We may change prices at any time, but changes do not affect bookings already confirmed and paid.
- Payment. Payment is due at the time of booking unless we agree otherwise in writing. Payments are handled by our third-party payment processor, and you authorize us (through that processor) to charge your selected payment method for the amount shown.
- Taxes. Prices may not include applicable taxes, which will be added where required.
- Seat confirmation. A seat is confirmed only once payment is received and we send a confirmation. Seats are limited and offered on a first-come, first-served basis.
6. Cancellations and Refunds
Cancellations, transfers, and refunds are governed by our Refund Policy, which is incorporated into these Terms. Please review it before booking.
7. Participant Conduct
We want every cohort to be productive and respectful. You agree to behave professionally and lawfully during the Services and not to harass, threaten, or disrupt instructors or other participants. You are responsible for any device or account you use during a workshop and for complying with the terms of any third-party tools we use. We may remove any participant whose conduct is disruptive, unlawful, or harmful, without a refund.
8. Certificates
We may issue a completion certificate to participants who complete a workshop. Each certificate has a unique ID and may be verified through our website. Certificates confirm participation in our workshop; they are not an accredited qualification or a professional license, and they do not guarantee any particular outcome. We may decline to issue, or may revoke, a certificate that was issued in error or obtained through misrepresentation.
9. Intellectual Property
The Services and all related content — including course materials, slides, templates, text, graphics, logos, and the website itself — are owned by Nova Compute or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable license to use the materials we provide solely for your own learning and internal business use. You may not copy, resell, redistribute, publicly share, or create derivative training from our materials without our prior written permission. The Nova Compute name and logo may not be used without our consent.
10. Your Content
Anything you build during a workshop using your own data and accounts belongs to you. If you send us feedback or suggestions, you grant us a royalty-free, perpetual license to use them to improve our Services without obligation to you.
11. Third-Party Services
The Services may rely on or link to third-party products and platforms (for example, payment, scheduling, and AI tools). We do not control those services and are not responsible for them. Your use of a third-party service is governed by that provider’s own terms and privacy policy.
12. Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free. Our workshops are educational, and we make no guarantee of any specific business result, revenue, savings, or outcome from attending.
13. Limitation of Liability
To the fullest extent permitted by law, Nova Compute and its owners, instructors, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the specific Service giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Nova Compute and its owners, instructors, and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or of applicable law.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Services will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts. Before filing any claim, you agree to first contact us so we can try to resolve the matter informally.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Changes apply to use of the Services after they take effect; your continued use means you accept the updated Terms.
17. General
If any provision of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Nova Compute regarding the Services.
